These Terms of Service (“Terms”) govern your access to and use of Rax — the macOS desktop application, the website at rax-ai.com, and the related billing and account services (together, the “Service”). By downloading, installing, or using Rax, you agree to these Terms. If you do not agree, do not use the Service.
01What Rax is
Rax is a desktop application that gives you a crew of named AI agents (Max, Alex, Luna, Nova, and Zara) for software engineering and related work. Rax is a paid interface to third-party AI models. It does not train, host, or own the underlying models. When you send a prompt, Rax routes it to a model provider — currently Anthropic (the Claude family) and Moonshot AI (the Kimi family) — and relays the response back to you. Your use of those models is also subject to the respective providers’ own usage policies.
02Accounts
You need a Rax account to use the Service. You can create one with a magic-link email or by signing in with Google. You are responsible for keeping your account credentials and any API keys you generate secure, and for all activity that happens under your account. You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use Rax. One person or entity per account.
03Subscriptions, credits & billing
Rax is free to download and install. Running the AI crew consumes credits. Credits are purchased through a monthly subscription, with plans starting at $20 / month (and $50 and $100 tiers). Each month your subscription renews, the corresponding credit amount is deposited into your balance.
- Payment processing. Subscriptions are processed by Whop, our third-party payment provider. Rax never sees or stores your full card details. Your subscription is also subject to Whop’s terms.
- How credits are consumed. Claude (Anthropic) models consume credits, billed by token at the provider’s published rates plus a 30% service margin. The free “Rax Default” tier runs on Kimi (Moonshot) models and does not consume credits, subject to daily and monthly fair-use caps.
- Your balance persists. Credits in your balance do not expire and carry over month to month for as long as your account is in good standing. Cancelling your subscription stops future monthly deposits; it does not erase credits you have already accrued.
- Cancellation. You can cancel your subscription at any time, effective at the end of the current billing period. Except where required by law, subscription payments are non-refundable, and credits have no cash value.
- Price changes. We may change plan prices or credit amounts on a prospective basis. Material changes will be communicated before they take effect on your next renewal.
04Acceptable use
You agree not to use the Service to:
- break the law, infringe intellectual-property or privacy rights, or generate content that is unlawful, harmful, harassing, or abusive;
- create malware, conduct attacks, or attempt to gain unauthorized access to systems, networks, or accounts;
- reverse-engineer, resell, sublicense, or rate-limit-evade the Service, or use it to build a competing product by scraping our outputs;
- abuse the free tier — for example by creating multiple accounts or automating requests to circumvent fair-use caps;
- violate the usage policies of the underlying model providers (Anthropic and Moonshot).
We may suspend or terminate accounts that violate these Terms or that put the Service, its providers, or other users at risk.
05Your content
You retain ownership of the prompts you send and the outputs you receive, to the extent such material is ownable. You are responsible for how you use generated output, including reviewing code before you run or ship it. You grant Rax the limited rights needed to operate the Service — namely to transmit your prompts to the model providers to fulfill your requests and to log usage metadata for billing. We describe exactly what we collect and why in our Privacy Policy.
06Disclaimer of warranties
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI models can be wrong, incomplete, or inconsistent. Output may contain errors; you must not rely on it as professional advice and you are responsible for verifying anything you act on. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that model providers will remain available.
07Limitation of liability
To the maximum extent permitted by law, Rax and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the three (3) months preceding the event giving rise to the claim.
08Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if we are required to by law or by a provider. On termination, your right to use the Service ends; sections that by their nature should survive (billing, disclaimers, limitation of liability) will survive.
09Changes to these Terms
We may update these Terms from time to time. When we do, we’ll revise the “Last updated” date above. If the changes are material, we’ll make a reasonable effort to notify you. Continuing to use the Service after changes take effect means you accept the revised Terms.
